The Articles of Association of YIT Corporation include a purchase obligation clause (Article 11). According to this clause, a shareholder whose proportion of all the shares of the company, or of the votes derived from the shares, reaches or exceeds one-third (1/3) and/or one-half (1/2) shall offer to redeem even the remainder of the shares issued by the company and any securities entitling to them under the Finnish Companies Act.
In the calculation of the one-third (1/3) and one-half (1/2) of the number of votes, those parties shall be included regarding whom there are provisions in Chapter 6, Section 6, paragraph 2, of the Finnish Securities Market Act (1993/740).
In the procedure, those instructions and provisions regarding redemption procedure shall be complied with which are provided, in the Securities Market Act, regarding a public offer to sell and regarding obligation to redeem.
